 In addition to the Purchase Prices the Buyer (New Owner) will be responsible for the Back and Current Taxes.  This information will be provided prior to the auction.

 Properties sell subject to Bankruptcy Court Approval.  Properties must close 30 days after approval is given.

TERMS OF SALE

 

a.         The premises shall be sold absolutely, free and clear of all encumbrances without warranty or recourse, subject to however,

            i.          Restrictions and easements of record;

ii.         Local Laws, ordinances, and other legal restrictions or conditions which may affect the premises, including but not limited to:

            (A)       Zoning
(B)       Subdivisions; 
(C)       Sewage;
(D)       Water; or
(E)       Public Health

iii.        Rights of the public and others in and to any part of the premises that lies within the bounds of any street, alley, or highway;

iv.        Any statement of facts that any accurate survey would disclose;

v.         Any redemption right of the United States, if any;

b.         Title insurance, if any is desired, shall be paid by the purchaser;

c.         The Successful Purchaser shall be required to pay all real property tax arrearage upon closing to the appropriate taxing authority;

d.         The Premises shall be convey “AS IS” “WHERE IS” without representation or warranty as to condition, habitability, existing tenancies and it is the responsibility of each bidder to investigate all aspects of the parcel offered which he or she desires to purchase;

e.         The parcels will be sold without contingencies or any other condition precedent;

f.          Bidders: Each proposed bidder shall be required to register with the Auctioneer prior to commencement of the bid on that parcel upon which the bidder seeks to bid.  Each bidder shall be assigned a Bidder Number.

g.         The Auctioneer shall determine the order of bidding in a manner designed to produce the highest and best values for all of the properties as a whole;

h.         The Secured Creditor may credit bid on any or all of the offered parcels of real property up to a collective total no greater than its allowed secured claim;

i.          The Secured Creditor may open the bidding on any of the properties offered;

j.          Each competing bid thereafter shall be accepted in minimum bid increments of One Thousand ($1,000) Dollars;

k.         The bidding shall continue until such time as no further higher bids are forthcoming and the then highest bid shall be deemed by the Auctioneer as the Successful Bidder;

 l.          The Auctioneer shall also recognize and document the second highest bidder in the event the Successful Bidder fails, for any reason, to complete the purchase of the particular premises upon which they were the Successful Bidder;

m.        Upon the selection of the Successful Bidder, the Successful Bidder shall execute all necessary binding contracts identifying the parcel successfully bid on, the bid price and containing the terms of sale to which the Successful Bidder shall be bound;

n.         The Successful Bidder shall be required at the close of the bidding of the particular parcel to pay the Auctioneer to hold in escrow an amount equal to or in excess of Ten (10%) Percent of the Successful Bid Price in cash or good check.  A receipt for the funds so paid shall be given to the Successful Bidder;

o.         o.         In the event that the Successful Bidder is not capable of delivering to the Auctioneer the required Ten (10%) Percent payment, that bid may             be stricken and the Second Highest Bidder shall be declared to be the Successful Bidder;

p.         p.         The contracts of the Successful Bidders will be submitted to the Court for approval on the following motion date of October 28, 2004 for              approval by the court;

q.         q.         The Successful Bidder shall be required to deliver the balance of the purchase monies for their parcel within Thirty (30) Days of October 28,             2004 when a Deed shall be prepared and ready for delivery;

r.          r.         The Successful Bidder shall not be entitled to any further notice of the closing of title.  If the Successful Bidder fails to tender the balance of              the purchase price within the described 30 day period, his bid may be stricken and the Second Highest Bidder will be offered the opportunity              to purchase the parcel at their last bid price; the Successful Bidder’s 10% down payment shall be forfeit as liquidated damages to the                    Debtor’s estate;

s.         s.         The Costs of any tax imposed upon the transfer of the real property shall be deemed added to the purchase price and bourn by the purchaser;             and

t.          t.         All sales are subject to the approval of the United States Bankruptcy Court for the Northern District of New York
